Customer acknowledges and understands that Customer’s use of the StrataPrime Portal (“Portal”) is pursuant to the Google Workspace Terms of Service currently located at https://workspace.google.com/terms/2013/1/premier_terms.html (as may be updated by Google, in its sole discretion, from time to time) and the StrataPrime Google Workspace Reseller Agreement (previously referred to as the StrataPrime Google Workspace Reseller Order) signed by StrataPrime and Customer (“Reseller Agreement”) outlining Customer’s original purchase of Google Workspace.

Capitalized terms not defined herein will, unless otherwise indicated to the contrary, have the same meaning as set out in the Reseller Agreement.

Acknowledgements

Through Customer’s use of the Portal, Customer acknowledges and agrees that:

  • Customer personnel executing the Portal T&Cs are authorized to bind Customer to the cost and terms for any and all new licenses ordered through the Portal;
  • All authorized Portal users for Customer’s organization have configured their Google accounts for two factor authentication;
  • Licenses ordered through the Portal will be at the same cost as set out in Customer’s Reseller Order and on the same terms as set out in the Reseller Agreement; if Customer has any questions regarding cost and terms, Customer agrees to contact the appropriate StrataPrime account manager before submitting a purchase through the Portal;
  • Customer is solely responsible for ensuring that all Portal users understand the cost and terms of an order prior to confirming an order;
  • All orders are final and non-refundable once submitted and changes are reflected immediately in Customer’s Google Workspace management console;
  • All licenses ordered by Customer through the Portal are pursuant to the Order Term; and
  • In the event that Customer adds additional licenses in the Portal, Customer acknowledges and agrees that all of the additional licenses added from time to time are subject to Customer’s contractual commitments, obligations and covenants, including without limitation, liability and indemnification covenants, contained in all associated agreements, including without limitation, the StrataPrime Workspace Reseller Agreement, the StrataPrime Chrome Reseller Agreement, and the StrataPrime API Agreement.

Other

Once Customer has placed an order through the Portal, a confirmation email will be sent to the email address provided to StrataPrime within twenty-four (24) hours of Customer placing the order. Customer acknowledges and understands that it is the Portal user’s responsibility to review the confirmation email and all changes in Customer’s Google Workspace console to ensure that the order was properly placed.

In the event that Customer notifies StrataPrime that an order requires cancellation as it was placed in error, StrataPrime may, without making any representation, warranty, or guarantee of the outcome, inform Google of such error, in a good faith effort to obtain from Google consent to the cancellation of such order. StrataPrime will only undertake this good faith effort if Customer can demonstrate that the order was placed in error and under no other circumstances whatsoever. Customer acknowledges and understands that StrataPrime is solely agreeing to make a good faith effort to advise Google of Customer’s request for cancellation of an order made in error and that StrataPrime has no input or control over any decision made by Google in regards to the matter. Customer further agrees to accept the outcome of any decisions made by Google.
